These Provider Terms and Conditions ("Provider Terms") govern your access to and use of the ARBO platform as a healthcare professional or healthcare organization representative ("Provider," "you"). These Provider Terms are in addition to any order form, statement of work, marketplace addendum, Business Associate Agreement ("BAA"), or other written agreement you may have with ARBO (collectively, the "Agreement").
By creating or using a Provider account, you agree to be bound by these Provider Terms. If you do not agree, do not use the Services as a Provider.
1) Company Information
ARBO-HEALTH, CORP (a Florida corporation) ("ARBO," "we," "us") operates the ARBO technology platform and makes the Services available.

2) ARBO Is a Technology Platform; No Employment or Clinical Care by ARBO
ARBO provides software and related technology tools, including scheduling, secure communications, telehealth technology features, documentation support, workflow tools, AI-assisted features, and interoperability/integration features (the "Services").

ARBO does not employ, contract, or subcontract healthcare professionals to deliver clinical care.

ARBO does not practice medicine (or any other regulated healthcare profession) and does not provide medical advice, diagnosis, or treatment.

You are an independent professional or independent organization and are solely responsible for all clinical services you provide.
3) Provider Eligibility, Licensure, and Professional Responsibilities
You represent and warrant that you are properly licensed, certified, registered, and in good standing to provide the services you offer, and that you will maintain such licensure and credentials during your use of the Services.

You are solely responsible for determining whether, when, and how to provide services to a user/patient and for all clinical decisions.

You must comply with all applicable federal and state laws and regulations, including telehealth rules, scope-of-practice, prescribing rules, and consent requirements.

You must maintain appropriate professional liability insurance as required by law or your professional standards.

You must not use the Services for emergency care; you must instruct patients to call 911 for emergencies.
4) Patient Relationship and Disclosures
Any patient-provider relationship is between you and the patient. You are responsible for appropriate patient onboarding, informed consent, privacy notices (if applicable), and disclosures required by law and professional standards.

You are responsible for verifying patient identity and location as required for telehealth and prescribing compliance.

You are responsible for ensuring informed consent for telehealth, recording/transcription (if used), and communications where required.

You must provide patients with your cancellation/refund policies and any other material terms before payment or appointment confirmation.
5) Scheduling, Fees, and Payments (Marketplace)
If ARBO enables marketplace features, you may set availability, fees, and certain policies through the Services, subject to the Agreement and applicable law.

You are responsible for the accuracy of your profile, availability, service descriptions, pricing, and policies.

If ARBO processes payments or enables payment processing, payouts, fees, chargebacks, and timing will be governed by the Agreement and any payment processor terms.

You are responsible for your taxes and reporting obligations (including receiving forms such as a 1099, where applicable).
6) Documentation, Records, and Patient Access
You are responsible for maintaining clinical documentation and records in compliance with applicable law, professional standards, and payer requirements, including record retention requirements.

You are responsible for the content and accuracy of documentation you create, approve, or sign.

If the Services provide draft notes or summaries, you must review and approve them before they become part of a clinical record.

You are responsible for handling patient access requests consistent with applicable law and your obligations (including HIPAA where applicable).
7) AI-Assisted Features (Provider Use)
The Services may include AI-assisted features such as transcription, summarization, drafting, coding suggestions, reminders, and workflow support. AI outputs may be inaccurate or incomplete.

AI outputs are not clinical advice and do not replace professional judgment.

You must independently verify AI outputs before relying on them for diagnosis, treatment, prescriptions, billing/coding, or documentation.

You must configure and use AI features in a manner consistent with patient consent requirements and your privacy obligations.
Model Training and PHI: Unless expressly stated in a separate written agreement, ARBO does not use identifiable Protected Health Information (PHI) to train general-purpose AI models. ARBO may use de-identified data, aggregated metrics, and non-PHI service data to operate, maintain, and improve the Services, consistent with our Privacy Notice and security program.
8) HIPAA, Security, and Compliance
HIPAA: If you are a Covered Entity (or otherwise subject to HIPAA) and the Services involve PHI, you agree that a signed Business Associate Agreement ("BAA") is required before you upload, store, transmit, or otherwise process PHI through the Services. Where a BAA is in place, ARBO will handle PHI as a Business Associate as described in the BAA.
Security: You must use the Services in a secure manner and follow reasonable security practices, including enabling multi-factor authentication (MFA) when available, maintaining secure devices, and preventing unauthorized access.

You must promptly notify ARBO of any suspected compromise of your account or credentials.

You must cooperate with reasonable security inquiries related to misuse or suspected violations.

You must not attempt to circumvent access controls, audit logs, or other security features.
9) Interoperability and Data Exchange (FHIR)
The Services may support integrations and data exchange using HL7® FHIR® or other interoperability standards. You are responsible for ensuring you have the rights and authorizations to connect external systems and to exchange information.

Integration availability depends on third parties and your configuration.

You are responsible for clinical interpretation and verification of imported/exported data.
10) Acceptable Use and Prohibited Conduct

Do not use the Services for unlawful activities or in a manner that violates professional or ethical obligations.

Do not upload content you do not have rights to share (including third-party data without authorization).

Do not transmit malware, attempt unauthorized access, scrape the platform, or interfere with service availability.

Do not use the Services to provide emergency services or to route emergency communications.
-
Do not misuse patient data or engage in deceptive, fraudulent, or abusive conduct.
11) Intellectual Property and Provider Content
ARBO and its licensors retain all rights, title, and interest in the Services, including software, interfaces, trademarks, and other ARBO content. Subject to these Provider Terms, ARBO grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.
Provider Content: You retain ownership of content you submit or create through the Services ("Provider Content"). You grant ARBO a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and use Provider Content solely to provide, maintain, secure, and improve the Services and to comply with law, consistent with the Privacy Notice and any BAA/DPA that applies.
12) Quality, Monitoring, and Compliance Actions
ARBO may monitor usage to maintain platform integrity, safety, and compliance, including investigating complaints, fraud, or security incidents. ARBO may take action such as suspending or limiting features, removing listings, or terminating accounts in accordance with the Agreement and applicable law.

You agree to respond promptly to reasonable requests for information related to compliance, verification, or patient safety concerns.

ARBO may require credential verification and periodic re-verification.
13) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ARBO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ARBO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT AI OUTPUTS WILL BE ACCURATE.

YOU ARE SOLELY RESPONSIBLE FOR YOUR CLINICAL SERVICES, PROFESSIONAL JUDGMENT, DOCUMENTATION, AND COMPLIANCE.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $500 USD OR (B) THE TOTAL AMOUNT YOU PAID TO ARBO FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
15) Indemnification
You agree to indemnify, defend, and hold harmless ARBO and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your clinical services; (b) your breach of these Provider Terms; (c) your violation of any law; or (d) your infringement of any third-party rights.
16) Term and Termination
These Provider Terms remain in effect while you use the Services. You may stop using the Services at any time. ARBO may suspend or terminate your access if you violate the Agreement, pose a security risk, engage in fraud, or if required by law.
Upon termination, you remain responsible for your obligations related to patient care, documentation, record retention, and compliance. Sections intended to survive (including disclaimers, limitation of liability, indemnification, dispute resolution, and IP) will survive termination.
17) Dispute Resolution; Arbitration; Class Action Waiver (US)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal Resolution: Before filing a claim, you agree to contact ARBO at legal-notices@arbo-health.com and provide a brief written description of the dispute and the relief sought. The parties will attempt in good faith to resolve the dispute informally within 30 days.
Binding Arbitration: Except for (a) claims in small claims court, (b) claims for injunctive or equitable relief related to intellectual property or unauthorized access, and (c) claims that cannot legally be arbitrated, you and ARBO agree that any dispute, claim, or controversy arising out of or relating to these Provider Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will be conducted in English. Unless the parties agree otherwise, the arbitration will take place in Orlando, Florida, or may be conducted virtually where permitted by the AAA rules.
Class Action Waiver: You and ARBO agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, to the maximum extent permitted by law.
Federal Arbitration Act: This arbitration agreement is governed by the Federal Arbitration Act (FAA).
18) Governing Law
These Provider Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration clause in Section 17.
19) Changes to Provider Terms
We may update these Provider Terms from time to time to reflect changes to the Services, legal requirements, or our business practices. We will provide notice as required by law. Your continued use of the Services after the effective date of updated Provider Terms constitutes acceptance.
